Calliope Metaxotou specializes in aviation law and the associated tax and customs aspects on aircraft reaching Greece from the EU or outside the EU. She has headed the team on international transactions since 2000 for major clientele in the US, Europe and the Middle East. She has a deep background on structuring, financing, acquisition, sales and leasing of aircraft and engines. Her background also includes repossession of aircraft following disputes, granting and registration of preferred mortgages, aircraft registration and de-registration and awarding exploitation license to airlines and to ground handling providers on a supervisory services basis or full basis. She is also familiar with the new field in aviation, Seaplane Transportation in Greece, which is in the final stage of materializing with a great demand from investors to seaplanes operation for a quick connection not only to the islands, but also to the seaside places in the continent of Greece.

Calliope has also acted on investment planning, investment protection, tax law, multinational banking transactions, banking regulations, foreign currency regulations, factoring, commercial finance, documentary credits, trade and project financing, venture capital, leasing of movable and immovable assets, mergers and acquisitions, sale and purchase of real estate.

Calliope has been listed since 2007, as one of the world’s leading aviation lawyers in The Aviation Expert Guide of Euromoney Magazine.

Calliope is a co-author of the Chapter on Greece in Aircraft Finance Registration, Security and Enforcement.

Prior to joining the firm in 1991, Calliope gained valuable experience working for many years at the Piraeus Shipping Branch of the Continental Bank of Illinois, the Athens and Piraeus Branches of the First National Bank of Chicago and the Athens Branch of the Bank of America NT & S.A.

Calliope has been a member of the Athens Bar since 1973. She obtained her law degree from the Law School of the University of Athens. Calliope has gained also significant knowledge by attending numerous seminars and trainings programs in London given by Coward Chance, Norton Rose, Continental Bank, Lloyds Press and a 3 year accounting and taxation seminar at the Athens Branch of Bank of America NT & S.A.

Experience, key assignments and notable projects

  • Acting as the Greek escrow agent and/or the Greek counsel on behalf of major international banks on many sale/ purchase/ financing along with registration of aircraft, type G650, G550, G450, Bombardier Global XRS & Challenger 604, Falcon 7X, Falcon 50, Falcon 2000LX, MD83, Embraer, Hawker, A340-313, A320 /A321, B737, B757, Eurocopter and Bell helicopters, during the period 2006-2015;
  • Participation in a public auction and announcement of our client, a USA investor from Florida, as the highest bidder for the acquisition of seven (7) B737 aircraft then owned by Olympic Airlines, under special liquidation, and represented by Ethniki Kefaleou SA, as special liquidator. The SPA was completed in a short period of time, all formalities initiated by us for exemption of sale from VAT and any other taxes were obtained in time and all aircraft, free of registered encumbrances, were released and deregistered from the Greek Register in January 2011, leaving Greece with a registration in the FAA;
  • Participation in various public auctions and announcement of our client, a BVI SPV, as the highest bidder for many movable assets of Olympic Airlines, under liquidation, finalized in late 2011;
  • Providing Dassault Aviation S.A with our legal opinion on registration aspects, type of aircraft mortgage to be granted , security enforcement and repossession process along with extensive tax advice (2010);
  • Acting for major aircraft/engines lessors and manufacturers as well as for Banks in U.S.A., Canada, U.K., France, Germany, Switzerland and the Middle East on registering their interests over aircraft in Greece during the period 2000-2014;
  • Arranging for amicable repossession of aircraft leased to Greek airlines and/or individuals following occurrence of events of default including calling for payment of bank letters of guarantee (2003);
  • Advising Olympic Air for sublease/acquisition/registration of 25 aircraft during the period June - October 2009;
  • Arranging for preparation of documents and filing with the appropriate division of the HCAA of the application of airlines for granting to them the relevant commercial exploitation license (2005-2010);
  • Sale and lease back of six aircraft engines owned by a major client of ours and leased to Olympic Airways (2003);
  • Drafting/registering aircraft mortgages over two (2) A340-300 aircraft in favour of a major bank out of Greece along with our legal opinion relating, in particular, to the legality and enforceability of a State Guarantee issued in 2001 and amended thereafter.
